1. The Agreement
These terms apply to all users of the AISEO.uk website and all clients engaging our consultancy services. By accessing our site or booking an introductory call, you agree to be bound by these terms. Our services are provided by West Cap Ltd, a company registered in England & Wales.
2. Services Provided
We provide professional AI-assisted search discovery (AI SEO), operational workflow audits, strategic advisory, and governance frameworks.
- Audits: Our 7-day audits are diagnostic in nature and provide a roadmap for implementation.
- Consultancy: Strategic advice is based on over 20 years of digital experience and search heritage; however, implementation results depend on external factors including third-party algorithm changes (e.g., Google, OpenAI).
3. Professional Standards & Liability
We operate with the rigour expected of a senior consultancy.
- Insurance: Our work is underpinned by comprehensive Professional Indemnity and Cyber Liability insurance.
- Limitation of Liability: While we apply veteran oversight to all projects, West Cap Ltd shall not be liable for any indirect or consequential loss, including loss of profits, revenue, or data, arising from the use of emerging AI technologies or third-party search engine volatility.
4. Intellectual Property
- Our Background IP: We retain ownership of all pre-existing methodologies, frameworks, and audit templates used to deliver our services.
- Client Deliverables: Upon full payment of fees, the client is granted a non-exclusive, perpetual licence to use the specific audit reports and implementation roadmaps created for their organisation.
5. Fees and Payment
- Fixed-Fee Deliverables: Most audit services are provided on a fixed-fee basis as outlined in your specific proposal.
- Payment Terms: Standard payment terms are 14 days from the date of invoice unless otherwise agreed in writing. We reserve the right to suspend services or withhold deliverables in the event of overdue payment.
6. Confidentiality & Data
Given the sensitive nature of operational workflows and search data:
- We agree to keep all non-public business information shared during the audit process strictly confidential.
- We do not use client-specific data to train public AI models. All AI-assisted processing is conducted within governed, private architectures to ensure data sovereignty.
7. Client Responsibilities
The success of a 7-day Workflow Audit or Strategic Roadmap requires timely access to relevant team members and systems. We are not responsible for delays caused by the late provision of information or lack of access to necessary digital assets.
8. Reliance on Advice
Our consultancy provides strategic recommendations based on current market conditions and technological capabilities. AI is a rapidly evolving field; our advice represents a professional "snapshot" in time and should be acted upon promptly to ensure relevance.
9. Termination
Either party may terminate a consultancy engagement with 14 days' written notice. In the event of termination, the client shall be liable for fees for all work completed up to the date of termination.
10. Governing Law
These terms and any dispute arising from them shall be governed by and construed in accordance with the laws of England & Wales. The courts of England & Wales shall have exclusive jurisdiction over any such dispute.
